Terms of Use
These terms apply when you use skipratio.com (the "site"), request a free sample video, or work with SkipRatio ("SkipRatio", "we", "us"). By using the site or our services, you agree to them. If you don't agree, please don't use the site or our services.
1. Using the site
- You may use the site to learn about our services and contact us. Don't misuse it: no attempts to break, overload, scrape at scale, or gain unauthorised access to it, and no submitting false, unlawful or someone else's information.
- Demos, charts, audits, numbers and mock-ups on the site (including anything labelled "example", "simulated" or "illustrative", and the fictional brands shown) are illustrations. They are not results, promises or claims about any client.
- Videos shown on the site are samples of our production work. Don't download, re-upload or reuse them without our written permission.
- The site is provided "as is". We may change, suspend or remove any part of it at any time.
2. The free sample video
- When you send us a link to an article, product or other material, you confirm that you own it or have permission to share it with us for this purpose.
- We may decline any request, for any reason, including material we can't verify or don't want to work with.
- The sample is free and creates no obligation for you or for us. You may post it on your own channels. It is provided "as is", and you're responsible for checking it before you publish it.
- We won't publish your sample or use your brand name publicly without your permission. We may keep a copy for our records.
3. Services and proposals
- Paid work is described in a written proposal, order or agreement (a "proposal") that sets out the scope, deliverables, schedule and price. If a proposal conflicts with these terms, the proposal wins for that engagement.
- Anything not listed in the proposal is out of scope. We'll quote extra work separately before doing it.
- Delivery dates depend on you providing access, materials, feedback and approvals on time. Delays on your side may move our dates.
- We may use subcontractors and software tools to deliver the work. We remain responsible for the work we deliver.
4. Fees and payment
- Fees are set out in your proposal. Unless the proposal says otherwise, monthly fees are billed in advance at the start of each month of service, and your first month is billed at half price.
- Invoices are due on the date stated on them. If a payment is late, we may pause work until it is paid.
- Fees are non-refundable once a month of service has started, except where the law requires otherwise.
- Fees exclude taxes, ad spend, paid stock media, platform fees and other third-party costs, unless the proposal says they are included.
5. Term and notice
- Services run month to month. There is no long-term contract.
- Either of us may stop the service by giving 30 days' written notice (email is fine). Fees for the notice period remain payable, and we'll keep delivering during it.
- We may stop immediately if an invoice is unpaid after a reminder, or if you seriously break these terms or the proposal.
- When the service ends, any unpaid fees for work already delivered become due.
6. Your materials and responsibilities
- You keep ownership of the content, products, brand assets, data and access you give us ("your materials"). You give us permission to use them to provide the services.
- You confirm that you have the rights to your materials and that using them as instructed won't infringe anyone's rights or break any law.
- You're responsible for the accuracy of facts and claims about your business, products and offers, including any health, cosmetic, financial, legal or other regulated claims. We fact-check against the material you provide, but we can't verify what we're not given.
- Keep your account credentials secure, and give us only the access we need.
7. Approval and publishing
- We don't publish anything without your approval. If you don't approve a piece within your plan, we'll revise it within the scope of that plan.
- Approving a piece means you accept it and are responsible for its publication and use.
- If you edit or use our work outside the agreed purpose, you're responsible for the result.
8. Ownership and licences
- Once the fees for a month are paid in full, the final deliverables made for you that month are yours to use for any lawful purpose. Until then, we own them, and you may not publish them.
- We keep ownership of our tools, software, templates, workflows, methods, know-how and any material we created before or outside your engagement. Where these are part of a deliverable, you get a licence to use them as part of that deliverable.
- Third-party elements (such as fonts, music, stock media or software output) are used under their own licences, which may limit how you can reuse them outside the deliverable.
- We may show work we made for you in our portfolio and marketing after it's published, unless you ask us not to in writing.
9. No guarantee of results
We work to improve attention, visibility and conversion, but results depend on many things outside our control, including platform algorithms, search engines, AI assistants, your market, your offer and your budget. We don't guarantee any specific views, followers, rankings, mentions by AI assistants, traffic, leads or sales. Any examples or projections are illustrations, not promises.
10. Third-party platforms and ads
- Your social, search, ad and website accounts are yours, and their providers' terms apply. We're not responsible for their decisions, outages, policy changes, takedowns, account restrictions or changes to how they show or rank content.
- For video ads, we make the creative. You or your media buyer run the ads and are responsible for ad budgets, targeting, spend, platform approval and compliance with advertising rules.
11. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for the engagement, except where it's already public, independently developed, or must be disclosed by law.
12. Limitation of liability
- To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data, goodwill or business opportunities.
- To the fullest extent the law allows, our total liability arising from the site, the free sample or our services is limited to the fees you paid us in the three months before the event that gave rise to the claim. For the site and free samples alone, it is limited to USD 100.
- Nothing in these terms limits liability that cannot be limited by law.
13. Indemnity
You agree to cover our reasonable losses and costs (including legal fees) from third-party claims arising from your materials, your products or services, the claims you ask us to make or approve, your ads and accounts, or your breach of these terms.
14. General
- We may update these terms. The date at the top shows the latest version. Changes apply from that date, but they won't change the terms of a month you've already paid for.
- If any part of these terms can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it.
- Neither of us is responsible for delays caused by events outside reasonable control.
- These terms are governed by the laws of the jurisdiction where SkipRatio is established, without regard to conflict-of-law rules, and its courts have jurisdiction, unless the law where you live says otherwise for consumers.
- Our Privacy Policy explains how we handle personal information.
